1. Overview and Acceptance

Welcome to the B-PARTS AUTOPARTS LLC site (the “B-Parts Site”), operated by B-PARTS AUTOPARTS LLC, a Delaware limited liability Company (“B-Parts”). The B-Parts Site provides an online e-commerce platform for you to find and purchase used automotive parts sold by B-Parts. By visiting or using the B-Parts Site, or by making a purchase through the B-Parts Site, you agree to and accept: (i) this B-Parts Site Terms of Service and Policy and Terms of Sale (the “Terms”); and (ii) B-Parts privacy statement which governs the collection, use and storage of personal information on the B-Parts Site (“Privacy Statement”). If you do not agree to these Terms or Privacy Statement, please do not use the B-Parts Site.

B-Parts reserves the right to amend these Terms at any time by notifying you of such changes by any reasonable means, including by posting on the B-Parts Site. Your continued use of the B-Parts Site after such notice will signify your assent to and acceptance of the revised Terms. It is your responsibility to review these Terms each time you visit the B-Parts Site or make a purchase through the B-Parts Site.

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH IN SECTION 17, BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. IN ADDITION, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE B-PARTS SITE OR ANY PARTS OR ACCESSORIES PURCHASED THROUGH THE B-PARTS SITE MUST BE MADE WITHIN ONE (1) YEAR FROM WHEN IT FIRST COULD BE FILED; OTHERWISE, IT IS PERMANENTLY BARRED.

2. Links to Third-Party Websites

The B-Parts Site may contain links to third-party websites that are not owned or controlled by B-Parts (“Third-Party Websites”). B-Parts has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Website. By clicking on a link in the B-Parts Site to a Third-Party Website, you expressly relieve B-Parts from any and all liability arising from your use of, or content on, any Third-Party Website.

3. Accounts

A. You may need to establish a B-Parts account (“Account”) to access certain features of the B-Parts Site, and you may be required to be logged into your Account and have a valid payment method associated with it. B-Parts does not offer products for children. B-Parts reserves the right to refuse service, terminate your Accounts, or terminate your access to use the B-Parts Site or any of its functionality, or cancel orders in its sole discretion.

B. When creating your Account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your Account and password and for restricting access to your Account, and are solely responsible for the activity that occurs on your Account, and you must keep your Account password secure. You must notify B-Parts immediately of any breach of security or unauthorized use of your Account. B-Parts will not be liable for any losses caused to you by any unauthorized use of your Account. However, you may be liable for the losses of B-Parts or other parties due to such unauthorized use.

4. Use of the B-Parts Site - Permissions and Restrictions

A. B-Parts grants you permission to access and use the B-Parts Site as set forth in these Terms, provided that you do not to alter or modify any part of the B-Parts Site. You may not access the B-Parts Site content through any technology or any unauthorized means other than user interaction expressly invited on the B-Parts Site itself. You may use the B-Parts Site solely for your personal purposes. You may not use the B-Parts Site for any commercial purpose without B-PARTS ’s prior express approval.

B. You will not use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the B-Parts Site in a manner that sends more request messages to the B-Parts Site servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web-browser. Notwithstanding the foregoing, B-Parts grants the operators of public search engines permission to use spiders for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. B-Parts reserves the right to revoke these exceptions either generally or in specific cases.

C. You will comply with all applicable local, national, and international laws and regulations applicable to your use of the B-Parts Site.

5. Export Controls and Economic Sanctions

Certain parts or accessories (collectively “Products”) that may be obtained through the B-Parts Site may be subject to the export control and economic sanction laws and regulations of the United States (collectively “Export Control Laws”). You agree to comply with all applicable Export Control Laws and may not export, re-export, or transfer Products without first obtaining all required licenses and other authorizations. Compliance with these laws and regulations includes, but is not limited to, abiding by U.S. economic sanctions, embargoes and prohibitions on transactions with restricted parties, countries and regions. This includes, but is not limited to, the prohibition on the transfer of commodities, materials, software and technology to U.S. sanctioned countries and regions (currently including Cuba, Iran, North Korea, Sudan, Syria, and Crimea, Donetsk, and Luhansk regions of Ukraine).

6. Electronic Communications

You consent to receive communications electronically, such as emails, texts, or notices and messages on the B-Parts Site or through your Account, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

7. Pricing; Product Descriptions; Errors and Omissions

Displayed prices are the B-Parts prices, which exclude taxes and any applicable fees. Prices are subject to change without notice. Acknowledgement of an order means that your order has been received; it does not mean that your order has been accepted or shipped or that the price or availability of a Product has been confirmed. If a Product offered through the website is not as described, your sole remedy is to return such Product subject to these Terms. We reserve the right to change or update information to correct errors, inaccuracies or omissions at any time without prior notice. We apologize for any inconvenience.

8. Taxes

Based on the destination of your order, B-Parts may be legally obligated to calculate, collect, and remit applicable state or local sales or use taxes and excise tax (collectively referred to as “Taxes”).

The terms contained herein are subject to change, as the taxation of online transactions is continually evolving. B-Parts strives to comply with state and local tax laws as they exist currently, and continues to monitor and update its taxation policies as those laws change. B-Parts will collect, report and remit all taxes in connection with each transaction.

9. Risk of Loss and Shipping

Every purchase of a physical Product on the B-Parts Site is made pursuant to a shipment contract. This means that the risk of loss and title for such Product passes to you upon the delivery of the Product to the carrier. Shipping rates and delivery times vary based on location and size of the Product. To determine the applicable shipping rate, proceed to checkout, select or add your shipping address, select payment method, and select continue. The total shipping and handling cost will be calculated and listed in the order summary.

10. Returns and Exchanges

A. Returns

You may return, unopened Products directly to B-Parts within 14 days of delivery for a full refund, less shipping and handling. You must return the Product in its original packaging to receive a refund. We may change this period from time to time and will provide you notice of any such changes.

The following Products cannot be returned, unless there is a valid warranty claim:

Any Product that shows evidence of being used, installed, or handled.
Hazardous materials (e.g., batteries, paint).
Videos, manuals, or other copyrighted materials, after they have been opened.

All returns are subject to inspection. You are responsible for any costs incurred to ship the returned Product.

To initiate a return, you may contact B-Parts customer service via the contact form. You must have your order number and the reason you are returning the Product. Provided the Product is eligible for return, a B-Parts customer service representative will create a return merchandise authorization number, determine the correct address where the Product should be shipped, and provide the information and instructions to you via email.

The Product should be returned directly to B-Parts at the address provided.
You are responsible for any shipping costs to return the Product.

Following inspection and acceptance of the return by B-Parts, B-Parts customer service will issue a refund of the full purchase price, less shipping and handling fees paid during checkout. If the Product is found to be ineligible for return, B-Parts customer service will notify you and offer to ship the Product back to you at our cost.

B. Exchanges

If a Product has a manufacturing defect, was damaged in shipping, or is otherwise damaged, you may exchange it for a “like for like” replacement Product. Note that if you wish to exchange an undamaged Product for an alternate Product, you must follow the process for Returns above. All exchanges are subject to inspection.

To initiate an exchange, you may contact B-Parts customer service via the contact form. You must have your order number and the reason you are exchanging the Product. Provided the Product is eligible for exchange, a B-Parts customer service representative will create a return merchandise authorization number, determine the correct address where the Product should be shipped, and provide the information and instructions to you via email.

If the Product was damaged in shipping, you may be required to provide a picture of the damaged box and damaged Product.
The Product should be returned directly to B-Parts at the address provided. B-Parts will cover the cost of shipping for exchanges.

Following inspection and acceptance of the damaged Product, if a replacement Product is available, B-Parts will ship a replacement to you at no cost. If a replacement Product is not available, B-Parts will issue a refund of the purchase price, including shipping and handling costs.

If the returned Product is found to be in as-designed or advertised condition or otherwise ineligible for exchange, B-Parts customer service will notify you and offer to ship the Product back to you at our cost. If such Product is otherwise eligible for a return, you may elect to initiate a return.

11. Your Use of Content on the B-Parts Site

In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the B-Parts Site. The content on the B-Parts Site, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like (“Content”) and the trademarks, service marks and logos contained in Content (“Marks”), are owned by or licensed to B-Parts, subject to copyright and other intellectual property rights under the law.

A. You may access B-Parts Site Content only as permitted under this Agreement. B-Parts reserves all rights not expressly granted in and to the B-Parts Site Content.

B. You may not use, copy, or distribute any Content other than as expressly permitted in these Terms, including any use, copying, or distribution of Content for any commercial purposes.

C. You may not circumvent, disable or otherwise interfere with security-related features of the B-Parts Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the B-Parts Site or the Content.

12. Copyright Infringement Notification

To file a copyright infringement notification with B-Parts , you must send a written communication that contains the following:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Identification of the copyrighted work claimed to have been infringed.
Identification of the material on the B-Parts Site that is claimed to be infringing, with information reasonably sufficient to allow us to locate the material.
Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number and, if available, an electronic mail address at which the complaining party may be contacted.
A statement that the complaining party has a good faith belief that use of the material in the matter complained of is not authorized by the copyright owner, its agent or the law.
A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

13. Limited Warranty and Warranty Disclaimer

A. When you purchase a Product from B-Parts on the B-Parts site AND HAVE SUCH PRODUCTS PROFESSIONALLY INSTALLED ON YOUR VEHICLE, we warrant the Product against significant defects in materials and workmanship under ordinary consumer use for six months from the date of original retail purchase. During this warranty period, if a defect arises in the Product, and you follow the instructions for returning the Product above, we will at our option, to the extent permitted by law, either (i) replace the product with an equivalent product to be replaced, or (ii) refund to you all or part of the purchase price of the product. This limited warranty applies, to the extent permitted by law, to any repair, replacement part or replacement device for the remainder of the original warranty period or for ninety days, whichever period is longer. All replaced parts and products for which a refund is given shall become B-Parts property. This limited warranty applies only to hardware components of the Product that are not subject to accident, misuse, neglect, fire, alteration, or damage from any third-party repair, third-party parts, commercial use, or other external causes. THIS WARRANTY APPLIES ONLY TO PRODUCTS THAT ARE PROFESSIONALLY INSTALLED IN YOUR VEHICLE BY A LICENSED MECHANIC IN THE STATE WHERE THE INSTALLATION OCCURRED.

Warranty covers original cost of item. Labor and Associated Charges are not covered under Warranty. Warranty is specifically limited as provided herein. Warranty applies only to the item purchased and is limited to the purchase price of the item. Seller only warrants that the item purchased is in the condition stated. Improper installation or handling may damage or break the item, any such improper installation/handling voids any warranty. Buyer understands and assumes such risk.

Any consumable or maintenance item(s) such as fluids, filters, spark plugs, gaskets, seals, timing chains, belts, etc. should be replaced before installing any engine. Engines are guaranteed to not have a cracked block, cracked head, or bad crankshaft, unless specifically noted. Parts internal to the Engine are warrantied. Parts external to the cylinder block and the cylinder head(s) are not warrantied. If present, these items are left on the engine for the installer’s convenience only. Overheating of engine voids all warranties. For Transmissions, low fluid level, failure to install a new filter, broken front pump, or improper installation voids all warranties. Failure to have work performed by a Licensed Dealership or ASE Certified Mechanic voids all warranties. Documentation or written Diagnostic Reports may be required prior to issuance of an RMA for any item.

Purchaser is solely responsible for determining the suitability of an item or items purchased for any and all purposes intended. B-Parts assumes no responsibility that the goods will be fit for any particular purpose for which you may be buying these goods, except as otherwise provided in the contract.

B. THE B-PARTS SITE AND ALL SUPPORTING TECHNOLOGY, INCLUDING ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED ON AN “AS IS” AND AS AVAILABLE BASIS. B-PARTS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE B-PARTS SITE, OR THE CONTENT OR SERVICES OR FUNCTIONALITY MADE AVAILABLE TO YOU THROUGH IT. B-PARTS DOES NOT WARRANT THAT THE B-PARTS SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR FREE FROM VIRUSES OR OTHER MALICIOUS SOFTWARE, AND NO INFORMATION OBTAINED BY YOU FROM B-PARTS OR THROUGH THE B-PARTS SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY LAW B-PARTS EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT, TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, YOUR USE OF THE B-PARTS SITE SHALL BE AT YOUR SOLE RISK.

EXCEPT FOR B-PARTS WARRANTY PROVIDED ABOVE IN SECTION A, B-PARTS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME ANY RESPONSIBILITY FOR ANY PRODUCT OFFERED THROUGH THE B-PARTS SITE. TO THE EXTENT PERMISSIBLE UNDER THE LAW, B-PARTS DOES NOT MAKE ANY WARRANTIES ABOUT THE PRODUCTS’ QUALITY, MERCHANTIABILITY, FITNESS FOR A PARTICULAR PURPOSES, SAFETY, OR LEGALITY.

14. Limitation of Liability

IN NO EVENT SHALL B-PARTS , OR ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (“B-PARTS PARTIES”), BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE B-PARTS SITE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEB SITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE B-PARTS SITE BY ANY THIRD PARTY, (V) ANY CLAIMS RELATED TO PRODUCTS SOLD THROUGH THE B-PARTS SITE, INCLUDING FOR DEFECTIVE PRODUCTS OR PRODUCTS THAT CAUSE PHYSICAL INJURY (LIKE PRODUCT LIABILITY CLAIMS), AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE B-PARTS SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT B-PARTS IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT THE B-PARTS PARTIES SHALL NOT BE LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, B-PARTS’S AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF THESE TERMS OR OTHERWISE IN CONNECTION WITH YOUR ACCESSING OR USING THE B-PARTS SITE OR FROM A PRODUCT PURCHASED ON THE B-PARTS SITE, SHALL IN NO EVENT EXCEED THE LESSER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNTS PAID BY YOU FOR ANY PRODUCT GIVING RISE TO SUCH LIABILITY. YOU ACKNOWLEDGE AND AGREE THAT THE ESSENTIAL PURPOSE OF THIS SECTION IS TO ALLOCATE THE RISKS UNDER THESE TERMS BETWEEN THE PARTIES AND B-PARTS HAS RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO PROVIDE YOU THE RIGHTS TO ACCESS AND USE THE B-PARTS SITE AND PRODUCTS PROVIDED FOR IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, B-PARTS ’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

15. Indemnity

You agree to defend, indemnify and hold harmless B-Parts, and its parent corporation, affiliates, subsidiaries, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees) arising from your violation of any of these Terms. This defense and indemnification obligation will survive any termination of these Terms or your use of the B-Parts Site.

16. Ability to Accept These Terms

You affirm that you are: (i) over 18 years of age; (ii) an emancipated minor; (iii) or possess legal parental or guardian consent, and are fully able and competent to enter into, and abide by, these Terms.

17. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.

You agree that any dispute with B-PARTS AUTOPARTS LLC, any of its affiliates relating to any aspect of this Agreement, your use of the B-Parts Site, or the purchase and performance of any Product, shall be fully and finally resolved by binding arbitration administered by the American Arbitration Association (the “AAA”). The rules governing the arbitration may be accessed at https://www.adr.org or by calling the AAA at +1-800-778-7879. Arbitration will be held in the city or county of your residence. ANY ARBITRATION WILL BE CONDUCTED BY THE PARTIES IN THEIR INDIVIDUAL CAPACITIES ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION, AND THE PARTIES WAIVE THEIR RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. THE PARTIES FURTHER EXPRESSLY WAIVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitrator appointed pursuant to the AAA Rules shall possesses exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability or formation of this agreement. You knowingly and voluntarily agree that if a court or arbitrator decides that any part of this agreement to arbitrate cannot be enforced as to a particular claim for relief or remedy, then only that claim or remedy must be brought in court and any other claims must be arbitrated.

18. General

A. Assignment. These Terms, and any rights and licenses granted in them, may not be transferred or assigned by you, but may be assigned by B-Parts without restriction.

B. Territory. The B-Parts Site is operated and offered in the United States of America. B-Parts makes no representations that the B-Parts Site is appropriate or available for use in other locations.

C. Governing Law and Venue. You agree that: (i) the B-Parts Site is deemed to be based solely in Michigan; and (ii) the B-Parts Site shall be deemed a passive website that does not give rise to personal jurisdiction over B-Parts, either specific or general, in jurisdictions other than Michigan. These Terms shall be governed by the internal substantive laws of the State of Michigan without respect to its conflict of laws principles. These Terms, together with the Privacy Notice and any other legal notices published by B-Parts on the B-Parts Site, constitute the entire agreement between you and B-Parts concerning the B-Parts Site.

D. Severability/No Waiver. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and B-Parts’ failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
